By accessing or using the Aria Ordering platform, website, and mobile applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legal agreement between you and Aria Payments, operating as Aria Ordering ("Aria Ordering," "we," "us," or "our").

If you do not agree to these Terms, you may not use the Service.

2. Service Overview

Aria Ordering is an online ordering and payment platform connecting customers with participating restaurants and food establishments ("Merchants").

Aria Ordering does not prepare food and is not responsible for food quality, preparation, safety, delivery, or compliance with health regulations. All food-related obligations remain solely with the Merchant.

3. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Changes become effective upon posting. Continued use of the Service constitutes acceptance of any revised Terms.

4. Terms for Food Establishments (Merchants)

Subscription & Fees

• Merchants agree to a monthly subscription fee of $99, billed on the first of each month.
• Transaction processing fees of 2.9% + $0.30 per order apply in addition to the subscription fee.
• All fees are non-refundable unless expressly stated in writing.

Merchant Responsibilities

Merchants are solely responsible for:

• Menu accuracy and pricing
• Food preparation and safety
• Packaging and labeling
• Compliance with all local, state, and federal laws

Taxes

Merchants are responsible for collecting, reporting, and paying all applicable taxes.

Aria Ordering does not collect, remit, or pay taxes on behalf of Merchants.

Financial Risk

Aria Ordering is not responsible for:

• Revenue fluctuations
• Business losses
• Operational outcomes

Merchants assume all financial risks related to their business.

Chargebacks & Disputes

Merchants are fully responsible for all chargebacks, disputes, and transaction reversals initiated by customers or financial institutions.

License to Use

Aria Ordering grants Merchants a limited, non-exclusive, non-transferable, revocable license to use the Service for managing menus and orders.

Merchants may not copy, modify, distribute, or create derivative works without written consent.

No Partnership

Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between Aria Ordering and any Merchant.

5. Terms for End Users (Customers)

• Customers may be required to create an account.
• Orders are placed directly with Merchants. Aria Ordering does not guarantee acceptance or fulfillment.
• Payments are processed through secure third-party payment processors.
• Refunds and cancellations are determined by the Merchant.
• Users agree not to misuse the Service or violate applicable laws.

6. Privacy Policy & Data Handling

Information We Collect

We may collect:

• Personal information (name, contact details)
• Order and transaction data
• Technical data (IP address, device information)

How We Use Information

Information is used to:

• Provide and improve the Service
• Process payments
• Communicate with users
• Maintain platform security

Data Sharing

Data may be shared with:

• Merchants
• Payment processors
• Service providers
• Legal authorities when required

We do not sell personal information.

Data Protection

We use commercially reasonable administrative, technical, and physical safeguards to protect data.

Data is retained only as long as necessary.

7. Disclaimers

The Service is provided "as is" without warranties of any kind.

Aria Ordering is not responsible for:

• Food quality
• Order fulfillment
• Delivery performance
• Business outcomes

Third-Party Delivery Disclaimer

If third-party delivery services are used, Aria Ordering is not responsible for delays, damages, losses, or disputes related to those services.

8. Limitation of Liability & Indemnification

To the maximum extent permitted by law:

Aria Ordering shall not be liable for indirect, incidental, consequential, or punitive damages.

Merchants and Customers agree to indemnify and hold harmless Aria Ordering from claims arising from:

• Food preparation or safety
• Taxes
• Chargebacks
• Fraud
• Misuse of the Service
• Third-party delivery issues
• Violations of law

This obligation survives account termination.

9. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.
